JiPOS Terms of Use

These Terms of Use (“Terms”) govern access to and use of the JiPOS system (“System”) provided by iOSoft Solutions Limited (“iOSoft”, “we”, “us”). By accessing or using the System, you (“Client”, “User”) agree to be bound by these Terms.


1. System Overview

JiPOS is a hotel ERP system designed to support hospitality operations including billing, inventory, reporting, integrations, and operational management.

Access to the System is provided as a licensed service and does not constitute ownership of the software.


2. License Grant & Restrictions

iOSoft Solutions grants you a non-exclusive, non-transferable, revocable license to use the System for your internal business operations.

You shall not:

  • Copy, modify, or create derivative works of the System
  • Reverse engineer, decompile, or attempt to access source code
  • Resell, sublicense, lease, or distribute the System
  • Use the System for unlawful or unauthorized purposes

3. User Responsibilities

You are responsible for:

  • Ensuring accuracy of all data entered into the System
  • Maintaining internal controls over system usage
  • Assigning authorized personnel and managing user access
  • Ensuring stable internet connectivity and hardware environment

You acknowledge that all activities conducted under your account are your responsibility.


4. Fees, License Term & Renewal

  • The System is provided on a time-based license (typically 12 months)
  • Continued access requires renewal of applicable license fees
  • Failure to renew may result in restricted access, suspension, or permanent deactivation of the System

If the license remains unpaid beyond a reasonable period, iOSoft Solutions reserves the right to delete all associated data without liability.

All payments are non-refundable once system setup or deployment has commenced.


5. Third-Party Integrations

The System may integrate with third-party platforms, services, hardware, or APIs.

  • Such third-party systems are not owned or controlled by iOSoft Solutions
  • All associated costs (including setup, licensing, API access, subscriptions, or hardware) shall be borne by the Client
  • iOSoft Solutions shall not be liable for:
    • Changes in pricing
    • Service interruptions
    • API changes or deprecations
    • Integration failures caused by third parties

Any changes from third-party providers shall be communicated and passed on where applicable.


6. System Availability & Performance

While iOSoft Solutions endeavors to maintain system availability, access may be affected by:

  • Internet or network failures
  • Power outages
  • Third-party infrastructure disruptions
  • Scheduled or emergency maintenance

iOSoft Solutions shall not be liable for downtime arising from factors beyond its reasonable control.


7. Hosting & Infrastructure

The System is hosted on infrastructure managed by iOSoft Solutions or its partners.

We use commercially reasonable efforts to ensure:

  • System performance
  • Security
  • Reliability

However, we do not guarantee uninterrupted or error-free operation.


8. Data Ownership & Backups

You retain full ownership of all data processed through the System.

You are solely responsible for:

  • Downloading and maintaining backups
  • Managing user access and permissions

iOSoft Solutions shall not be liable for:

  • Data loss
  • Data corruption
  • Failure to maintain backups

9. Data Security

iOSoft Solutions implements reasonable technical and organizational measures to safeguard data.

However, no system is completely secure. We shall not be liable for security incidents arising from:

  • Cyberattacks
  • Infrastructure failures
  • Third-party vulnerabilities

10. Audit Logs & Accountability

The System may maintain logs of user activities.

You are responsible for:

  • Monitoring system usage
  • Reviewing audit logs
  • Enforcing internal controls

iOSoft Solutions shall not be liable for misuse, fraud, or unauthorized transactions by your users.


11. Support Services

Support is provided during standard business hours.

Support includes:

  • System usage guidance
  • Configuration assistance

Support excludes:

  • Custom development
  • Third-party systems
  • Hardware issues

Additional services such as:

  • Extended support
  • Customizations
  • Additional training

may attract additional charges.


12. System Updates & Changes

iOSoft Solutions may:

  • Update the System
  • Introduce new features
  • Modify existing functionality

Such updates may occur without prior notice where necessary.


13. Limitation of Liability

To the maximum extent permitted by law, iOSoft Solutions shall not be liable for:

  • Loss of profits, revenue, or business
  • Business interruption
  • Data loss or corruption
  • Indirect or consequential damages

Total liability shall not exceed the amount paid by the Client for the System.


14. Termination & Suspension

We may suspend or terminate access to the System if:

  • Fees are unpaid
  • The System is misused
  • These Terms are breached

Upon termination:

  • Access to the System may be revoked
  • You are responsible for extracting your data prior to deactivation

15. Confidentiality

Both parties agree to keep confidential any non-public information exchanged during use of the System.


16. Compliance with Laws

You are responsible for complying with all applicable laws, including:

  • Tax regulations
  • Data protection laws
  • Electronic commerce regulations

iOSoft Solutions acts only as a system provider and does not assume regulatory responsibility for your business operations.


17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya.


18. Changes to Terms

iOSoft Solutions reserves the right to modify these Terms at any time.

Continued use of the System constitutes acceptance of the updated Terms.
